OverviewFounded in 2005, BankCap Partners ("BankCap") is a U.S. based private equity firm focused on investments in the financial services sector. BankCap's principal investment activity is to form and fund start-up banks (typically, initial equity of $70 to $120 million) in U.S. markets that have strong demographic fundamentals, an attractive economic base, favorable competitive dynamics, exceptional and available local banking talent, and strong local financial backing. These banks will focus on serving the sophisticated needs of middle-market companies and private banking clients in their regions, which we believe to be the most underserved sector of the banking industry due to ongoing consolidation. BankCap's role is to be the catalyst behind the formation of these middle-market business banks. BankCap identifies attractive markets, sources seasoned, world-class management teams that have a strong record of proven performance in commercial banking, funds start-up expenses, and ultimately invests between 30.0% and 49.9% of the new bank's initial capital. We believe that the success of a new bank not only depends on an outstanding management team and board of directors, but on local investor commitment. BankCap seeks for 50% or more of the bank's total equity to come from a broad group of local investors in order to create strong ties to the community that will foster the long-term success of the bank.
